Terms and Conditions for the use of the Verbena Limited Website and for the supply of goods on the Website

1. OUR AGREEMENT
These terms and conditions are the terms and conditions upon which Verbena Limited makes the Verbena Limited website (the “Website”) available to you and any services or products which are accessible via the Website.

2. USE OF WEBSITE
2.1 Verbena Limited grants you a limited licence to access and make personal use of the Website, but not to download or modify it.
2.2 The Website or any portion of the Website may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose.
2.3 You are granted a limited, revocable and non-exclusive right to create a hyperlink to the Website as long as the link does not portray Verbena Limited or its products in a false, misleading or otherwise offensive manner.
2.4 You will not use any Verbena Limited logo or other proprietary graphic or trademark as part of the link, without our consent.
2.5 You must not use the Website in any way that causes, or is likely to cause, the Website or access to it to be interrupted, damaged or impaired in any way.
2.6 Verbena Limited reserves the right to refuse access to the Website.

3. PRICE
3.1. We must receive payment for the cost of the goods that you order before your order can be accepted.  Once the Payment has been received by us we will confirm that your order has been accepted by sending an email to you at the email address you provide. Our acceptance of your order brings into existence a legally binding contract between us.  We can not deliver the goods without receipt of the Payment.
3.2. The prices payable for goods that you order are as set out in our Website. Payment will be accepted by cleared cheque or by credit card, through Paypal.
3.3. You will be required to pay extra for delivery and it may not be possible for us to deliver to some locations.  Our delivery charges are as set out in our Website.

4. RETURNS POLICY FOR GOODS  PURCHASED  FROM THE ACCESSORIES SHOP
4.1. If you wish to return an item to us, then we aim to make it as quick and convenient as possible. Any item may be returned to us within 21 days of the date of despatch, so long as it is unused, in it’s original packaging and in a condition fit for re-sale. Please note that postage and packaging will not be refunded unless a product is faulty. We strongly recommend that you send items back to us by recorded or registered post as we are unable to accept responsibility for items lost in transit.

5. CANCELLATION OF STATIONERY ORDER
5.1. Once an order has been made, the  Payment is non-refundable.
5.2. We will send out examples of our work (the “Proofs”) for your approval, prior to your order being completed and delivered to you. You must sign for and return the Proofs in order for us to complete the order and deliver the goods to you.
5.3. Once the Proofs have been signed for and returned to us, any further amendments will be charged at £10 per amendment.

6.       CANCELLATION BY US
6.1. If an item is not available we will offer a replacement.
6.2. We reserve the right to cancel the contract between us if:
6.2.1. we have insufficient stock to deliver the goods you have ordered;
6.2.2. we do not deliver to your area; or
6.2.3. one or more of the goods you ordered was listed at an incorrect price due to a typographical error.
6.3. If we do cancel the contract we will notify you by e-mail and we will either offer a replacement or re-credit to your account any sum deducted by us from your credit card as soon as possible.  We will not be obliged to offer any additional compensation for disappointment suffered or for any other reason.

7. DELIVERY OF GOODS TO YOU
7.1. We will deliver the goods ordered by you to the address you give us for delivery at the time you make your order.
7.2. Delivery will be made within a reasonable period after your order is accepted.
7.3. You will become the owner of the goods you have ordered when they have been delivered to you.  Once goods have been delivered to you they will be held at your own risk and we will not be liable for their loss or destruction.
7.4. Time is not of the essence.

8. LIABILITY
8.1. If the goods we deliver are not what you ordered or are damaged or defective or the delivery is of an incorrect quantity, we shall have no liability to you unless you notify us in writing at our contact address of the problem within 10 working days of the delivery of the goods in question.
8.2. Without prejudice to clause 6.2, if you do not receive goods ordered by you within 42 days of the date on which you returned the Proofs, we shall have no liability to you unless you notify us in writing at our contact address of the problem within 60 days of the date on which you returned the Proofs.
If you notify a problem to us under this condition, our only obligation will be, at your option:
8.2.1. to make good any shortage or non-delivery;
8.2.2. to replace or repair any goods that are damaged or defective; or
8.2.3. to refund to you the amount paid by you for the goods in question in whatever way we choose.
8.3. Save as precluded by law, we will not be liable to you for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem you notify to us under this condition and we shall have no liability to pay any money to you by way of compensation other than to refund to you the amount paid by you for the goods in question under clause 7.2.3 above.
8.4. You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase goods from our site.  The importation or exportation of certain of our goods to you may be prohibited by certain national laws.  We make no representation and accept no liability in respect of the export or import of the goods you purchase.
8.5. Notwithstanding the foregoing, nothing in these terms and conditions is intended to limit any rights you might have as a consumer under applicable local law, or other statutory rights that may not be excluded nor in any way to exclude or limit our liability to you for any death or personal injury resulting from our negligence.
8.6. You should be aware that our goods contain small parts which are used to decorate the goods and are therefore not suitable for small children and should not be treated as toys.
8.7. We will do our utmost to ensure that availability of the Website will be uninterrupted, however, this can not be guaranteed at all times. Verbena Limited accepts no responsibility for any such suspensions, restrictions, interruptions or delays. We reserve the right to make changes to our Website, policies and these terms and conditions at any time.

9. NOTICES
A notice under or in connection with these terms and conditions shall be in writing and shall be delivered personally or sent by first class post as follows:

10. EVENTS BEYOND OUR CONTROL
9.1    We shall have no liability to you for any failure to deliver goods you have ordered or any delay in doing so or for any damage or defect to goods delivered that is caused by any event or circumstance beyond our reasonable control including, without limitation, strikes, lock-outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.

11. INVALIDITY
If any part of these terms and conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these terms and conditions will not be affected.

12. PRIVACY
We only use the information that we collect about you in accordance with the Data Protection Act 1998. We collect information about you to process your order and do not pass this onto any third party. For further information please see our full privacy policy.

13. THIRD PARTY RIGHTS
Except for our affiliates, directors, employees or representatives, a person who is not a party to this agreement has no right under the UK Contracts (Rights of Third Parties) Act 1999 to enforce any term of these terms and conditions but this does not affect any right or remedy of a third party that exists or is available apart from that Act.

14. ENTIRE AGREEMENT
These terms and conditions, together with the Website prices, delivery details, contact details and privacy policy, set out the whole of our agreement relating to the supply of the goods to you by us and use of the Website. 

15. GOVERNING LAW
The Contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.
